Has anyone here bought land through a Thai Ltd company and dealt with the land registry process?

I’m working with a consortium of investors looking at a $3–5m land acquisition in Chonburi. The plan is to set up a Thai Ltd company to hold the asset, with foreign investors funding the company in return for cashflows from sale/lease until principal + interest is repaid.

So far, the main hurdles I see are:

1. Thai Ltd company setup – I have genuine Thai partners who can support, but I’d prefer to keep the company thinly capitalised. I know the minimum capitalisation is usually 1–2m THB.

2. Land registry comfort – ensuring the source of funds doesn’t trigger nominee-shareholding concerns.

One law firm suggested the Thai partner provide 51% of the funding, but that’s impossible – for them even 49% of 1–2m THB is a stretch without my support.

Has anyone navigated this before, and what structures or approaches actually worked for you?

If they do not put in their own capital (no you cannot fund their portion) and maintain day to day activity in the company, it is an illegal nominee company. The government has cracked down and nailed a bunch of people, and I know that more are in the pipeline. Unless you go to a reputable lawyer and discuss what your plan is, you are likely to lose everything.
